Description
The Company is a specialty commercial general contractor delivering interior fit-out, ground-up construction, and renovation across airport, retail, restaurant, hospitality, medical, office, and public- sector end markets. FY2026E revenue of $20.8M is up 74% year over year at a 16% adjusted EBITDA margin, and H1 2026 alone nearly matched all of FY2025. Blended project margins run 25%, and management reports no loss-making projects in the Company’s history. The value sits in access. The Company is cleared to build inside post-security environments at major U.S. hub airports, where concessionaires award build-out work only to a small bench of pre-cleared, bonded firms. Secure-area scope earns 28% to 30% against 18% to 20% on standard commercial work, a premium set by how few firms are eligible to bid. Airside clearances, badging infrastructure, on-airport staging with airfield access, $10M single-project and $30M aggregate bonding never once declined, a 0.84 experience modification rate, and state licensure are all held by the entity. Every line transfers at close, with no requalification on a change of ownership. Demand already exceeds what the Company can build. Management estimates $10M to $15M of qualified, bondable work is turned away each year for want of field capacity, never for bonding. More than 90% of revenue is repeat, core relationships average over 8 years, and the largest account is 25% on a 4 year average, all held by procurement rather than by the owner. The business has never employed a salesperson or run a marketing budget. An incoming owner funds capacity into demand that already exists. 100% of the equity is offered

Support & Training
The founder will support a structured transition of 6 to 12 months, extendable by agreement. Project managers, a general manager, and field superintendents already run daily delivery. His remaining scope, final estimating and senior client relationships, is replaceable at approximately $300K a year, already charged in full against the adjusted EBITDA shown above. No credential or license is held in his name.
Market & Competition
A funded capital cycle. ACI-NA quantifies $173.9B of U.S. airport infrastructure need for 2025 to 2029, up 15.1% on the prior study, with terminal buildings the largest category at $72.8B and squarely in the Company’s scope. A supply base that is gated. National firms are not built for recurring secure-area fit-out, and local firms cannot post the bonding or hold the clearances. The bidder set on any secure-area package is short by construction. Pricing set by permission, not leverage. The secure-area premium reflects how few firms may bid, not pressure applied to the client. A second cycle underneath. Retail refresh, restaurant rollouts, and healthcare and office build-out run continuously across end markets the Company already serves, unconnected to airport budgets.
Growth Opportunities
Convert work already turned away. The $10M to $15M declined each year is a field-bandwidth constraint, never a bonding one. Recruiting and subcontractor depth convert it directly. Install a commercial function. No salesperson, marketing budget, or business-development function has existed. A targeted program aimed at owners with live capital plans turns a referral pipeline into a forecastable one. Extend across the hub network. Clearances are corporate-level, licensure covers 11 states, and concessionaire relationships are national. The playbook applies at any hub where those operators hold leases. Redeploy into markets already served. Medical facilities, hotels, offices, military installations, and national retail have all been delivered. This is redeployment, not entry.
