Platform Formation: 3 Fleet Service Acquisitions / $20.4M Revenue
Asking Price-
Revenue$20,400,000
EBITDA$4,100,000
Cash Flow$4,100,000
Description
This opportunity consists of three distinct, independently owned businesses being offered as a coordinated acquisition package. The companies are completely unintegrated, and their owners do not know one another personally; however, each ownership group is willing to pursue a simultaneous sale to one sponsor seeking to establish a scaled commercial fleet services platform.
Together, the businesses would provide four operating hubs across Washington, Wisconsin, Illinois, and Georgia, with complementary capabilities spanning specialty vehicle fabrication, regulated cargo-tank inspection, commercial fleet maintenance, and mobile heavy-equipment repair.
The companies generated approximately $20.4 million of aggregate FY2025 revenue and $4.1 million of adjusted EBITDA, representing a 20.3% margin. These figures reflect standalone operations and include no integration benefits or synergies.
Combined Capabilities
• Specialty fabrication and upfitting of propane, refined-fuel, lubricant, service, and crane trucks
• Federally required cargo-tank testing, inspection, certification, and repair
• Pump, piping, valve, meter, and delivery-system service
• Bulk propane plant and ISO container capabilities
• Mobile heavy-equipment, diesel, hydraulic, chassis, engine, and transmission repair
• Preventive maintenance, commercial fleet service, parts, and aftermarket support
The acquisitions would create a full-lifecycle offering for mission-critical commercial vehicles—from initial design and fabrication through inspection, maintenance, repair, parts, and refurbishment. Required inspections generate recurring customer touchpoints and frequently lead to follow-on repair and parts revenue, while the mobile operation adds broader powertrain, hydraulic, heavy-equipment, and mixed-fleet capabilities.
Key KPIs
• Approximately $20.4 million of aggregate FY2025 revenue
• Approximately $4.1 million of aggregate FY2025 adjusted EBITDA
• Approximately 20.3% aggregate adjusted EBITDA margin
• Four operating hubs across four states
• Approximately 65 employees and working owners
• Approximately 28 service and road vehicles
• Approximately 70 specialty truck builds annually
• Roughly 100 monthly service tickets at the Southeast business
• More than 95% of the Illinois business’s FY2025 revenue from repair services and parts
• Approximately 40 purchase orders secured for 2027 specialty truck builds as of August 2026
• Multiple customer relationships exceeding 10 and 20 years
• National Board R Stamp, FMCSA cargo-tank registrations, NHTSA manufacturer status, certified welders, registered inspectors, and meter-proving capabilities
Investment Thesis
A sponsor could create scale at inception while retaining each company’s regional brand, customer relationships, technical capabilities, and operating team. Because the businesses have never operated together, meaningful value-creation opportunities exist through:
• Centralizing finance, purchasing, recruiting, safety, compliance, and technology
• Creating a unified national-account sales strategy
• Cross-selling fabrication, inspection, parts, maintenance, and repair services
• Leveraging the installed vehicle base for recurring inspection and aftermarket revenue
• Expanding mobile service coverage around the four existing hubs
• Coordinating technician recruitment, training, and certification
The platform could pursue additional acquisitions of cargo-tank inspection shops, specialty vehicle builders, meter-proving businesses, bulk-plant service providers, ISO container depots, mobile fleet-repair companies, and diesel or hydraulic specialists.
Organic growth opportunities include adding technicians and service vehicles, opening locations near concentrated customer fleets, developing preventive-maintenance programs, and expanding national fleet relationships.
