New Platform Opportunity: Automotive Reconditioning / $15.0M Revenue

CA, US

COMPANY OVERVIEW The Company is a multi-state provider of outsourced automotive reconditioning services to franchise dealerships. Approximately 238 employees operate within 34 dealership accounts across five states, providing detailing, paintless dent repair, bumper and wheel repair, paint touch-up, glass and interior repair, ceramic coatings, and related services. The Company replaces multiple vendors with one coordinated provider and a single per-vehicle price, helping dealerships simplify operations, maintain consistent quality, and reduce the time required to prepare inventory for sale. KEY KPIs $15.0 million of TTM July 2026 revenue Approximately $1.5 million of adjusted EBITDA Approximately 9.8% adjusted EBITDA margin 19.3% revenue growth compared with FY2024 34 dealership accounts across five states and six metropolitan markets Approximately 238 employees 86.5% of revenue from luxury-franchise dealerships Largest customer represents 10.2% of revenue 21 continuously served accounts generated $10.8 million of TTM revenue and have grown 31.0% since FY2023 Administrative overhead represents only 1.9% of revenue Seven area managers and five location managers USED-VEHICLE TAILWIND The aging U.S. vehicle fleet and continued new-vehicle affordability pressures support demand for used vehicles. Vehicles remaining in service longer generally require more cosmetic, interior, glass, wheel, paint, and detailing work before resale. Used vehicles also generate greater revenue per unit for the Company, with representative package pricing of approximately $650 per used vehicle compared with $300 per new vehicle. This creates an opportunity to expand within existing dealership used-car departments and enter independent used dealerships, automotive auctions, rental fleets, and vehicle-remarketing channels. BUY-AND-BUILD STRATEGY The Company represents an attractive starting point for a scaled automotive reconditioning platform. The market remains fragmented across local detailing, paintless dent repair, wheel, glass, tint, coating, and mobile body-repair providers. Acquisitions could be used to: Enter new markets with established dealership relationships Add technicians and complementary services Cross-sell acquired capabilities across the existing account base Expand into used-car dealerships, auctions, and fleet remarketing Centralize billing, purchasing, recruiting, training, and administration Build density around existing markets and dealer groups DE NOVO EXPANSION De novo growth could follow a repeatable cluster strategy: secure an anchor dealership, recruit a local crew and regional manager, and expand into nearby franchise and independent used-car dealerships. Because employees primarily operate from customer facilities, new locations require limited facility investment. The Company can initially establish core detailing operations and then introduce higher-value specialty services as each market develops. INVESTMENT POSITIONING The Company already possesses the customer relationships, management infrastructure, workforce, training capabilities, and multi-market experience required to integrate acquisitions and launch new locations. A buyer could use the business as the seed platform for a national outsourced dealership-services provider, benefiting from an aging vehicle fleet, growing used-car reconditioning requirements, dealership outsourcing, and consolidation of a fragmented vendor market.

BMW Specialty Repair Shop, East Bay CA, 72% Repeat Revenue, No Debt

CA, US

Single-location BMW and Mini specialty service and repair shop in California, in one of the densest concentrations of German cars in the country. Revenue and earnings have grown in each of the last four years, the business carries no debt, and there is no customer concentration anywhere in the base. The work is diagnosis and mechanical repair on out-of-warranty vehicles that would otherwise go to a dealer at roughly twice the price. Scope runs from factory-scheduled maintenance through engine, transmission, suspension, brake, cooling, and electrical repair, plus module coding and programming that most independent shops cannot perform. Tires and alignment are deliberately not offered. Over 95% of repair orders are BMW and nearly all of the balance is Mini, which uses the same diagnostic platform. The median vehicle serviced is a 2014 model, the out-of-warranty window where an independent specialist competes on capability rather than price. What a buyer acquires is a documented repeat client base and the factory-level diagnostic capability that holds it. Roughly 1,325 clients and 1,412 vehicles have come through the shop, 72% of revenue comes from returning clients, and the largest single client is under 1% of revenue. The top ten clients together are 6.08%. That base was built entirely by referral, on advertising spend of about $1,100 in a year against $1.4 million of revenue. The financial record is unusually well documented for a business this size. Revenue reconciles across three independent sources: CPA-prepared accrual statements, the shop management system invoice export, and filed state sales tax returns. Add-backs total under $16,000 against reported net income, because the owner takes distributions rather than a salary, so reported income already sits close to true owner earnings. There is no debt, no lien, no litigation, and zero workers compensation claims across three consecutive policy years. Operating detail: 1,652 repair orders in the trailing twelve months, an average repair order of $904, 3,804 billed labor hours in 2025 across two technicians, an effective labor rate of $197 per billed hour, and 91.2% of work paid by card at pickup, so there is no receivables risk. The natural buyer is a technician-operator who can work the platform, or a multi-shop group in the region. A signed non-disclosure agreement and buyer qualification are required for the confidential information memorandum and detailed financials. All figures are unaudited and subject to verification.

What to know about auto repair shop acquisitions

GW

By George Wellmer

Cofounder & CEO

Key diligence, valuation, financing, and transition considerations for buyers evaluating auto repair shop acquisitions.

What You're Actually Buying

An auto repair shop acquisition is fundamentally an investment in a customer base, a technician team, and a revenue system, not just the bays and equipment. The best acquisitions in this category are operations that generate consistent cash flow independent of the owner's daily presence. As you evaluate any opportunity, the key question is how much of the shop's revenue depends specifically on the owner's relationships, technical skills, or daily involvement. A shop with a service manager, trained technician team, and documented processes commands a meaningful premium because it transfers with its earnings intact. One where the owner is also the lead tech and service writer requires honest assessment of transition risk before pricing it.

What the Financials Need to Show

Request three full years of tax returns, P&Ls, and bank statements and reconcile them carefully. Key metrics to analyze include: average repair order (ARO) value, technician productivity rate (billable hours vs. available hours), and gross margin by service type. Top-performing shops run 15–20%+ net margins and 80%+ technician productivity. Shops showing margins well below industry norms, typically 8–12% net, often have pricing problems, excessive comebacks, or significant deferred owner compensation. Scrutinize add-backs carefully; owners in the trades industry commonly run personal vehicle payments, family salaries, and discretionary expenses through the business. Each add-back should be documented and explainable to an SBA lender.

Equipment, Real Estate, and Environmental Risk

Auto repair shops carry environmental exposure that other businesses don't. Before closing, commission a Phase I Environmental Site Assessment if the property has been used for automotive services for more than a decade; underground storage tanks, oil/water separators, and solvent contamination from prior operations can create post-closing liability that survives an asset purchase. Confirm the status of all lifts, alignment equipment, diagnostic tools, and HVAC and get an independent assessment of remaining useful life. Deferred maintenance on critical equipment is one of the most common forms of pre-sale value inflation in the auto repair category. Budget 5–10% of purchase price for CapEx reserves if the equipment fleet is aging.

Technician Retention Is the True Asset

The skilled technician shortage in the U.S. automotive services industry is structural, not cyclical. ASE-certified technicians, diesel specialists, and advanced diagnostics technicians are genuinely hard to replace. If the acquisition is dependent on retaining two or three key technicians, address this explicitly in the purchase agreement through retention bonuses, employment agreements, or an earnout tied to staff retention metrics. Ask for technician tenure records, compensation structures, and training investment history. Shops with low turnover and consistent certification investment have a legitimate competitive advantage that is reflected in customer retention rates and average ticket values.

SBA Financing and the Valuation Gap

The majority of auto repair shop acquisitions in the SMB range are financed through SBA 7(a) loans, which require an independent business valuation to support the purchase price. If the seller's asking price is based on verbal representations about cash sales or unreported revenue, the SBA appraisal will not support it and the deal will not close. Insist on verified financials from the start of negotiations. A business that cannot support its price through documented financials is either overpriced or has an accounting problem that becomes your problem at closing. Well-run shops with clean books, documented SDE, and three years of consistent performance are the most financeable and the most valuable.

Frequently Asked Questions

Answers to common buyer questions for this market.

Plan on 90 plus days from signed letter of intent if you're using SBA financing. Three things drive the timeline. SBA underwriting takes 30 to 45 days once you submit a complete package. Incomplete financials are the most common source of delay. Get three years of tax returns, P&Ls, and bank statements before you go under contract. Environmental due diligence adds time. Phase I is non-negotiable on any auto repair shop. Two to three weeks, $2,000 to $4,000. Phase II is strongly advisable given the exposure to petroleum, solvents, and coolant. Budget another four to six weeks and $8,000 to $15,000. The math: Phase II costs $15,000. Remediation starts at $100,000. Licensing transfer is the third variable. Understand how you'll legally operate the business before you're under contract. Discovering a licensing problem in week seven of an eight-week close is not a good situation. Deals that close on time have complete documentation from day one. The ones that drag are still chasing bank statements in week six.
